1. Scope of application<\/b><\/p>\n

1.1 For the busi\u00adness rela\u00adti\u00adonship bet\u00adween Media Car\u00adrier Solu\u00adti\u00adons GmbH, Fering\u00adas\u00adtrasse 6, 85774 Unter\u00adfoeh\u00adring (\u201cMedia Car\u00adrier\u201d) and the cus\u00adto\u00admer (\u201ccus\u00adto\u00admer\u201d), only the fol\u00adlo\u00adwing terms and con\u00addi\u00adti\u00adons (GTCs) apply, in the ver\u00adsion valid at the time of commissioning.
\nDevia\u00adting gene\u00adral terms and con\u00addi\u00adti\u00adons of the cus\u00adto\u00admer will not be reco\u00adg\u00adnised unless Media Car\u00adrier expressly agrees to their vali\u00addity in writing. <\/p>\n

2. Sub\u00adject of this contract<\/b><\/p>\n

2.1 The cus\u00adto\u00admer com\u00admis\u00adsi\u00adons Media Car\u00adrier to carry out the ser\u00advices spe\u00adci\u00adfied in the offer and con\u00adtract docu\u00adments (\u201coffer\u201d) and to which the pro\u00advi\u00adsi\u00adons of these GTCs apply, inso\u00adfar as they are appli\u00adca\u00adble to the respec\u00adtive service.
\nArran\u00adge\u00adments from the offer take pre\u00adce\u00addence over the pro\u00advi\u00adsi\u00adons of these GTCs, inso\u00adfar as they are devia\u00adted from. <\/p>\n

3. <\/b>Media Box<\/b><\/b><\/p>\n

Media Box enables the cus\u00adto\u00admer and his\/her cus\u00adto\u00admers (\u201cusers\u201d) to retrieve digi\u00adtal peri\u00adodi\u00adcals, maga\u00adzi\u00adnes, pod\u00adcasts etc. (\u201cdigi\u00adtal con\u00adtent\u201d) by means of Media Carrier\u2019s soft\u00adware of ser\u00advers and data\u00adba\u00adses (\u201cMedia Box\u201d).
\nWith regard to the retrie\u00adval of spe\u00adci\u00adfic digi\u00adtal con\u00adtent by a user, sepa\u00adrate GTCs apply, to which the user must con\u00adsent before retrie\u00adving the digi\u00adtal content.
\nIn the fol\u00adlo\u00adwing it should be con\u00adtrac\u00adtually regu\u00adla\u00adted that Media Car\u00adrier enables the cus\u00adto\u00admer to use Media Box (e.g. through tech\u00adni\u00adcal inte\u00adgra\u00adtion of Media Box on the customer\u2019s web\u00adsite) so that it is available to the customer\u2019s users. <\/p>\n

3.2 The cus\u00adto\u00admer must ensure, at his\/her own risk and expense, that s\/he estab\u00adlishes and main\u00adta\u00adins the tech\u00adni\u00adcal pre\u00adre\u00adqui\u00adsi\u00adtes neces\u00adsary in his\/her area to secu\u00adrely offer and pro\u00advide access to Media Box, in par\u00adti\u00adcu\u00adlar with regard to the hard\u00adware and soft\u00adware used and the Inter\u00adnet connection.
\nMedia Car\u00adrier shall sup\u00adport the cus\u00adto\u00admer with the tech\u00adni\u00adcal set-up of Media Box. <\/p>\n

3.3 In the event of fur\u00adther deve\u00adlo\u00adp\u00adments to Media Box and after having been infor\u00admed of these deve\u00adlo\u00adp\u00adments by Media Car\u00adrier, it is the cus\u00adto\u00admer\u2019s respon\u00adsi\u00adbi\u00adlity, at his\/her own risk and expense, to make the neces\u00adsary adjus\u00adt\u00adments to the IT infra\u00adstruc\u00adture s\/he uses.
\nMedia Car\u00adrier shall sup\u00adport the cus\u00adto\u00admer in these measures. <\/p>\n

3.4 The cus\u00adto\u00admer ack\u00adnow\u00adled\u00adges that Media Box is also a data\u00adbase work or data\u00adbase crea\u00adted by Media Car\u00adrier within the mea\u00adning of \u00a7\u00a7 4 para.
\n2, 87a para.
\n1 of the Copy\u00adright Act (Urhe\u00adber\u00adge\u00adsetz, UrhG).
\nAsso\u00adcia\u00adted com\u00adpu\u00adter pro\u00adgram\u00admes are sub\u00adject to the pro\u00adtec\u00adtion of \u00a7\u00a7 69a ff. UrhG, works pro\u00advi\u00added are sub\u00adject to the pro\u00adtec\u00adtion of \u00a7 2 UrhG.
\nThird-party rights to the pro\u00adtec\u00adted works remain unaffected. <\/p>\n

3.5 In accordance with the pro\u00advi\u00adsi\u00adons men\u00adtio\u00adned under Section
\n3 and on con\u00addi\u00adtion that the remu\u00adne\u00adra\u00adtion owed and due is paid, the cus\u00adto\u00admer shall receive the simple, non-exclu\u00adsive, non-trans\u00adfera\u00adble, geo\u00adgra\u00adphi\u00adcally unli\u00admi\u00adted right to offer Media Box to his\/her cus\u00adto\u00admers or users for use in accordance with the con\u00adtract. This right is limi\u00adted to the Internet\/intranet sub\u00adscrip\u00adtion and to the dura\u00adtion of the contract. <\/p>\n

3.6 The cus\u00adto\u00admer may only use Media Box accor\u00adding to Media Carrier\u2019s stipulations.
\nIn par\u00adti\u00adcu\u00adlar, the cus\u00adto\u00admer is not entit\u00adled to sub\u00adject Media Box to a tech\u00adni\u00adcal rede\u00adsign, nor to decom\u00adpile it ille\u00adgally, etc. Media Car\u00adrier reser\u00adves the right to refuse access to Media Box if there are indi\u00adca\u00adti\u00adons that the tech\u00adno\u00adlo\u00adgies used by the cus\u00adto\u00admer and\/or users impair its func\u00adtion\u00ada\u00adlity or security.
\nMedia Car\u00adrier shall cont\u00adact the cus\u00adto\u00admer before blo\u00adcking access, informing the cus\u00adto\u00admer of the facts and of Media Carrier\u2019s inten\u00adtion to block the customer\u2019s access and giving the cus\u00adto\u00admer the oppor\u00adtu\u00adnity to remedy the situa\u00adtion within a reasonable period of time; this does not apply to situa\u00adtions of immi\u00adnent danger. <\/p>\n

Media Car\u00adrier is also entit\u00adled to take tech\u00adni\u00adcal mea\u00adsu\u00adres to pre\u00advent use bey\u00adond the agreed scope, in par\u00adti\u00adcu\u00adlar to install appro\u00adpriate access barriers.
\nThe cus\u00adto\u00admer may not use any devices or other means that serve to cir\u00adcum\u00advent or over\u00adcome Media Carrier\u2019s tech\u00adni\u00adcal measures.
\nIn par\u00adti\u00adcu\u00adlar, the cus\u00adto\u00admer may not use web craw\u00adlers, spi\u00adder pro\u00adgram\u00admes, meta search engi\u00adnes or com\u00adpa\u00adra\u00adble tech\u00adno\u00adlo\u00adgies that auto\u00adma\u00adti\u00adcally retrieve con\u00adtent from Media Box.
\nIn the event of impro\u00adper use, Media Car\u00adrier is entit\u00adled to imme\u00addia\u00adtely block the customer\u2019s access to Media Box.
\nFur\u00adther rights and claims of Media Car\u00adrier, in par\u00adti\u00adcu\u00adlar the right to extra\u00ador\u00addi\u00adnary ter\u00admi\u00adna\u00adtion for good cause as well as claims for dama\u00adges, remain unaffected. <\/p>\n

3.7 Media Car\u00adrier makes digi\u00adtal con\u00adtent available via Media Box; howe\u00adver, it does not create this content.
\nMedia Car\u00adrier the\u00adr\u00ade\u00adfore accepts no lia\u00adbi\u00adlity for the com\u00adple\u00adten\u00adess, cor\u00adrect\u00adness or topi\u00adcal\u00adity of the digi\u00adtal content. <\/p>\n

3.8 Media Car\u00adrier endea\u00advours to con\u00adti\u00adnuously adapt Media Box to cur\u00adrent requirements.
\nMedia Car\u00adrier the\u00adr\u00ade\u00adfore reser\u00adves the right to make chan\u00adges in order to update the sys\u00adtem to the state of the art and to opti\u00admise the sys\u00adtem, in par\u00adti\u00adcu\u00adlar to improve user-fri\u00adend\u00adli\u00adness. Media Car\u00adrier also reser\u00adves the right to make chan\u00adges to con\u00adtent, pro\u00advi\u00added that this is requi\u00adred for the pur\u00adpo\u00adses of error cor\u00adrec\u00adtion, updating and com\u00adple\u00adtion, to opti\u00admise the pro\u00adgramme or for licen\u00adsing reasons. <\/p>\n

3.9 If, after the con\u00adclu\u00adsion of the con\u00adtract, Media Box is expan\u00added to a high degree to include addi\u00adtio\u00adnal con\u00adtent or digi\u00adtal con\u00adtent, Media Car\u00adrier is entit\u00adled to increase the remu\u00adne\u00adra\u00adtion by an amount cor\u00adre\u00adspon\u00adding to the expansion.
\nInsi\u00adgni\u00adfi\u00adcant expan\u00adsi\u00adons are not taken into account.
\nThe increased remu\u00adne\u00adra\u00adtion can be reques\u00adted for the period fol\u00adlo\u00adwing the date of the expansion.
\nMedia Car\u00adrier shall jus\u00adtify the expan\u00adsion and con\u00adse\u00adquent increased remu\u00adne\u00adra\u00adtion to the cus\u00adto\u00admer. The cus\u00adto\u00admer must be infor\u00admed in advance of the expan\u00adsion and con\u00adse\u00adquent increased remu\u00adne\u00adra\u00adtion by email.
\nThe cus\u00adto\u00admer is entit\u00adled to ter\u00admi\u00adnate the con\u00adtract for the use of Media Box on the date on which the increased remu\u00adne\u00adra\u00adtion comes into effect, should this date occur before the regu\u00adlar notice period.
\nIf the cus\u00adto\u00admer does not can\u00adcel or does not can\u00adcel in time, the con\u00adtract shall be con\u00adtin\u00adued with the new remu\u00adne\u00adra\u00adtion amount. <\/p>\n

3.10 Wit\u00adhout pre\u00adju\u00addice to Sec\u00adtion 3.10, Media Car\u00adrier is entit\u00adled to increase the remu\u00adne\u00adra\u00adtion by giving one month\u2019s notice, pro\u00advi\u00added that after the con\u00adclu\u00adsion of the con\u00adtract there has been an over\u00adall increase in the costs incur\u00adred for the pro\u00advi\u00adsion of the ser\u00advices, in par\u00adti\u00adcu\u00adlar the costs of main\u00adtai\u00adning and fur\u00adther deve\u00adlo\u00adping the tech\u00adni\u00adcal infra\u00adstruc\u00adture, the costs of licen\u00adsing works by third par\u00adties or the costs for cus\u00adto\u00admer ser\u00advice and gene\u00adral admi\u00adnis\u00adtra\u00adtion, or inso\u00adfar as the mar\u00adket pri\u00adces of the works pla\u00adced in Media Box, in par\u00adti\u00adcu\u00adlar with regard to digi\u00adtal con\u00adtent, have risen. Media Car\u00adrier shall also take into account any cost savings that may have occurred.
\nMedia Car\u00adrier shall jus\u00adtify the increase in remu\u00adne\u00adra\u00adtion to the cus\u00adto\u00admer and shall inform the cus\u00adto\u00admer in advance by email.
\nThe increase in remu\u00adne\u00adra\u00adtion is limi\u00adted to the increase in the afo\u00adre\u00admen\u00adtio\u00adned costs.
\nThe cus\u00adto\u00admer is entit\u00adled to ter\u00admi\u00adnate the con\u00adtract for the use of Media Box on the date on which the increased remu\u00adne\u00adra\u00adtion comes into effect, should this date occur before the regu\u00adlar notice period.
\nIf the cus\u00adto\u00admer does not can\u00adcel or does not can\u00adcel in time, the con\u00adtract shall be con\u00adtin\u00adued with the new remu\u00adne\u00adra\u00adtion amount. <\/p>\n

3.11 Upon ter\u00admi\u00adna\u00adtion of the con\u00adtract, Media Car\u00adrier is entit\u00adled to imme\u00addia\u00adtely block the customer\u2019s access to Media Box.
\nIn addi\u00adtion, upon ter\u00admi\u00adna\u00adtion of the con\u00adtract, the cus\u00adto\u00admer is obli\u00adged to stop using Media Box and to stop offe\u00adring it and to remove all Media Car\u00adrier soft\u00adware com\u00adpon\u00adents, in par\u00adti\u00adcu\u00adlar Media Box, from his\/her IT infrastructure. <\/p>\n

4. Remu\u00adne\u00adra\u00adtion, invoi\u00adcing and due dates<\/b><\/p>\n

4.1 Unless other\u00adwise spe\u00adci\u00adfied in the offer, the pro\u00advi\u00adsi\u00adons of this para\u00adgraph apply to remu\u00adne\u00adra\u00adtion, invoi\u00adcing and due dates.<\/p>\n

4.2 With regard to ser\u00advices rela\u00adted to Media Box, remu\u00adne\u00adra\u00adtion shall be made monthly in advance at the begin\u00adning of the calen\u00addar month \u2014 no later than the third working day.<\/p>\n

4.3 All amounts sta\u00adted in the offer are exclu\u00adsive of sta\u00adtu\u00adtory VAT.<\/p>\n

4.4 Invoices are due for pay\u00adment imme\u00addia\u00adtely upon receipt.<\/p>\n

5. Start, dura\u00adtion and ter\u00admi\u00adna\u00adtion of the contract<\/b><\/p>\n

5.1 Unless other\u00adwise sti\u00adpu\u00adla\u00adted in the offer, the pro\u00advi\u00adsi\u00adons of this para\u00adgraph apply to the start, dura\u00adtion and ter\u00admi\u00adna\u00adtion of contracts.<\/p>\n

5.2 A con\u00adtract is con\u00adcluded when the cus\u00adto\u00admer accepts the bin\u00adding offer from Media Car\u00adrier con\u00adtai\u00adned in the offer docu\u00adments, inclu\u00adding the pro\u00advi\u00adsi\u00adons of these GTCs, by sig\u00adning it in writing.
\nThe requi\u00adre\u00adment for the writ\u00adten form is also dee\u00admed to have been ful\u00adfil\u00adled if the cus\u00adto\u00admer sends a scan of the signed Media Car\u00adrier offer by email, fax, etc. <\/p>\n

5.3 The con\u00adtract period is 12 months.
\nIt shall be exten\u00added by a fur\u00adther 12 months if notice of ter\u00admi\u00adna\u00adtion is not given at least 3 months before the end of the con\u00adtract period. <\/p>\n

5.4 Notice of ter\u00admi\u00adna\u00adtion must be given in text form (e.g. email).<\/p>\n

5.5 The recipient\u2019s receipt of the ter\u00admi\u00adna\u00adtion is decisive for estab\u00adli\u00adshing com\u00adpli\u00adance with the notice period.<\/p>\n

5.6 The right to extra\u00ador\u00addi\u00adnary ter\u00admi\u00adna\u00adtion of the con\u00adtract for cause remains unaffected.<\/p>\n

6. Con\u00adfi\u00adden\u00adtia\u00adlity<\/b><\/p>\n

6.1 The par\u00adties agree to main\u00adtain sec\u00adrecy with respect to con\u00adfi\u00adden\u00adtial information.
\nThis obli\u00adga\u00adtion also remains in place after the con\u00adtract has come to an end. <\/p>\n

6.2 The fol\u00adlo\u00adwing con\u00adfi\u00adden\u00adtial infor\u00adma\u00adtion is excluded from this obligation:<\/p>\n

6.2.1 Infor\u00adma\u00adtion which can be shown to have alre\u00adady been known by the reci\u00adpi\u00adent upon con\u00adclu\u00adsion of the agree\u00adment, or became known by a third party the\u00adre\u00adaf\u00adter, wit\u00adhout a con\u00adfi\u00adden\u00adtia\u00adlity agree\u00adment, sta\u00adtu\u00adtory regu\u00adla\u00adti\u00adons or offi\u00adcial orders being vio\u00adla\u00adted in the process;<\/p>\n

6.2.2 Infor\u00adma\u00adtion which was publicly known upon the con\u00adclu\u00adsion of the agree\u00adment, or was made publicly known the\u00adre\u00adaf\u00adter, in so far as this does not con\u00adcern an inf\u00adrin\u00adge\u00adment of this agreement;<\/p>\n

6 2.3 Infor\u00adma\u00adtion which must be dis\u00adc\u00adlo\u00adsed on the basis of sta\u00adtu\u00adtory obli\u00adga\u00adti\u00adons or by order of a court or public authority.
\nInso\u00adfar as it is per\u00admis\u00adsi\u00adble and fea\u00adsi\u00adble, the reci\u00adpi\u00adent obli\u00adged to dis\u00adc\u00adlose shall inform the other party in advance and give the other party the oppor\u00adtu\u00adnity to take action against the disclosure. <\/p>\n

6.3 Fur\u00adther\u00admore, the par\u00adties shall only dis\u00adc\u00adlose con\u00adfi\u00adden\u00adtial infor\u00adma\u00adtion to employees who need to know said infor\u00adma\u00adtion for the pur\u00adpo\u00adses of exe\u00adcu\u00adting the con\u00adtract, and pro\u00advi\u00added that said employees are under an obli\u00adga\u00adtion to main\u00adtain sec\u00adrecy after lea\u00adving the com\u00adpany to the ext\u00adent per\u00admis\u00adsi\u00adble by employ\u00adment law.<\/p>\n

7. Lia\u00adbi\u00adlity<\/b><\/p>\n

7.1 Media Car\u00adrier is lia\u00adble, for wha\u00adte\u00adver legal reason, within the frame\u00adwork of the sta\u00adtu\u00adtory pro\u00advi\u00adsi\u00adons only in accordance with this paragraph.<\/p>\n

7.2 Media Car\u00adrier has unli\u00admi\u00adted lia\u00adbi\u00adlity for damage resul\u00adting from injury to life, limb or health, as well as for damage based on intent or gross negli\u00adgence on the part of Media Car\u00adrier or one of its legal repre\u00adsen\u00adta\u00adti\u00adves or vica\u00adrious agents, as well as for damage due to non-com\u00adpli\u00adance with a gua\u00adran\u00adtee given by Media Car\u00adrier or gua\u00adran\u00adteed pro\u00adperty or because of frau\u00addu\u00adlently con\u00adcea\u00adled defects.<\/p>\n

7.3 Media Car\u00adrier is lia\u00adble, limi\u00adted to com\u00adpen\u00adsa\u00adtion for the fore\u00adseeable damage typi\u00adcal for the con\u00adtract, for damage that is based on a slightly negli\u00adgent breach of essen\u00adtial con\u00adtrac\u00adtual obli\u00adga\u00adti\u00adons by Media Car\u00adrier or one of its legal repre\u00adsen\u00adta\u00adti\u00adves or vica\u00adrious agents.
\nEssen\u00adtial con\u00adtrac\u00adtual obli\u00adga\u00adti\u00adons are such obli\u00adga\u00adti\u00adons, the ful\u00adfilm\u00adent of which is essen\u00adtial for the pro\u00adper per\u00adfor\u00admance of the con\u00adtract and upon com\u00adpli\u00adance with which the con\u00adtrac\u00adting par\u00adties can usually rely. <\/p>\n

7.4 The strict lia\u00adbi\u00adlity of Media Car\u00adrier for defects alre\u00adady exis\u00adting at the time of the con\u00adclu\u00adsion of the con\u00adtract pur\u00adsu\u00adant to \u00a7 536a para.
\n1 clause 1 of the Ger\u00adman Civil Code (B\u00fcr\u00adger\u00adli\u00adches Gesetz\u00adbuch, BGB) is excluded, sub\u00adject to the above pro\u00advi\u00adsi\u00adons in this paragraph. <\/p>\n

7.5 Lia\u00adbi\u00adlity under the Pro\u00adduct Lia\u00adbi\u00adlity Act (Pro\u00addukt\u00adhaf\u00adtungs\u00adge\u00adsetz) remains unaffected.<\/p>\n

7.6 Claims for dama\u00adges in accordance with Sec\u00adtion 7.3 lapse one year from the start of the sta\u00adtu\u00adtory limi\u00adta\u00adtion period.<\/p>\n

7.7 The abo\u00adve\u00admen\u00adtio\u00adned rest\u00adric\u00adtions also apply to Media Carrier\u2019s legal repre\u00adsen\u00adta\u00adti\u00adves and vica\u00adrious agents if claims are made directly against them.<\/p>\n

8. Final provisions<\/b><\/p>\n

8.1 The place of per\u00adfor\u00admance is Munich.
\nThe exclu\u00adsive place of juris\u00addic\u00adtion for dis\u00adpu\u00adtes with mer\u00adchants, legal enti\u00adties under public law or public law spe\u00adcial funds from con\u00adtracts is also Munich. <\/p>\n

8.2 The law of the Fede\u00adral Repu\u00adblic of Ger\u00admany applies, under exclu\u00adsion of the UN Con\u00adven\u00adtion on Con\u00adtracts for the Inter\u00adna\u00adtio\u00adnal Sale of Goods (CISG).<\/p>\n

8.3 The cus\u00adto\u00admer may only trans\u00adfer to third par\u00adties the rights and obli\u00adga\u00adti\u00adons ari\u00adsing from or in con\u00adjunc\u00adtion with this agree\u00adment fol\u00adlo\u00adwing writ\u00adten con\u00adsent from Media Carrier.<\/p>\n

8.4 The cus\u00adto\u00admer is only aut\u00adho\u00adri\u00adsed to off\u00adset and exer\u00adcise lien or reten\u00adtion rights if the claims s\/he has asser\u00adted are reco\u00adg\u00adnised by Media Car\u00adrier or are undis\u00adpu\u00adted or have been legally established.<\/p>\n

8.5 Chan\u00adges and addi\u00adti\u00adons to this agree\u00adment must be in writing.
\nThis shall also apply to any change to or wai\u00adver of this clause.
\nThe writ\u00adten form is also dee\u00admed to have been main\u00adtai\u00adned if a scan of the agreed and signed mea\u00adsure is recei\u00adved by the other party (e.g. by email or fax). <\/p>\n

8.6 Should indi\u00advi\u00addual pro\u00advi\u00adsi\u00adons of this con\u00adtract be inef\u00adfec\u00adtive, this does not fun\u00adda\u00admen\u00adtally affect the vali\u00addity of the remai\u00adning provisions.
\nThe con\u00adtrac\u00adting par\u00adties shall endea\u00advour to find a pro\u00advi\u00adsion in place of the inef\u00adfec\u00adtive pro\u00advi\u00adsion that most clo\u00adsely matches the con\u00adtrac\u00adtual objec\u00adtive, both legally and commercially. <\/p>\n

8.7. The offer and con\u00adtract docu\u00adments are an inte\u00adgral part of these GTCs, unless they have been expressly declared non-binding.<\/p>\n\n<\/div>\n
